Terms and Conditions of myXP - XpEdge Program

These Terms & Conditions are a contract between you and myXP- XPEdge (referred to in these Terms & Conditions as“myXP- XPEdge”, “us”, “we”, “company” or “our”), the provider of the website and the services accessible from the myXP- XPEdge website (which are collectively referred to in these Terms & Conditions as the “Service”).

You are agreeing to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, please do not use the myXP- XPEdge Service. In these Terms & Conditions, “you” refers both to you as an individual and to the entity you represent. If you violate any of these Terms & Conditions, we reserve the right to cancel your account or block access to your account without notice.

  1. Eligibility
    1. Any applicant who has or is pursuing an undergraduate or postgraduate degree in any discipline from a recognised university is eligible to subscribe to the XPEdge Program offered on the Platform (as defined hereinbelow).
    2. In the event of non-availability of a degree certificate, a provisional passing certificate issued by the university, a passing certificate issued by the Principal/ Vice-Chancellor of the university or attested copies of the marksheets in respect of all the years of the graduate study should be furnished.
    3. The applicant agrees and understands that the details furnished as regards the eligibility shall be true and correct to the best of knowledge and belief and undertakes to inform the myXP- XPEdge of any changes, immediately.
  2. Courses/Programs offered by the Company
    1. We shall offer XPEdge Program, which Program shall endeavour to train, develop your skills and facilitate internship as per the agreed criteria.
    2. The Course Fees and Placement Fees shall be collectively referred to as the “Program Fees”
  3. Subscription to the Course/Program
    1. An applicant may start the registration process to the Course/Program by creating an account via the website (www.myxp.ai) and mobile application (https://play.google.com/store/apps/details?id=com.zolo.campusxp.android&hl=en_IN&gl=US / https://apps.apple.com/in/app/myfirstxp/id1551090106) (“Platform”). When creating your account, you confirm that the information so provided is accurate and complete.
    2. For the successful subscription to the Course/Program, each applicant shall be liable to undergo a ‘zsat’ test and upload a video profile on the Platform (in the form and format as maybe prescribed by myXP- XPEdge) (“Trial Test”), which then shall be assessed and/ or graded by the Evaluation Team (as defined hereinbelow).
    3. The applicants are permitted to register for more than one Course(s) simultaneously. They are required to submit a separate application for each Course. In case of a conflict in the examination/ test/ session schedule, wherein two Courses have an examination/ test/ session schedule at the same time, the applicant will be required to choose to take the examination/ test/ session schedule for one of the Courses. The examination/ test/ session schedule for the other Course can be attempted in the next examination/ test/ session schedule cycle, as the case maybe.
    4. Failure to adhere to any of the said subscription procedures shall result in cancellation of subscription to the Course/Program and or the guarantee offered by us under the specific Course/ Program opted by you.
  4. Course Materials
    1. Each applicant(s) shall have the access to the Platform to obtain, read and understand the Course Materials (as defined hereinbelow). When you are given access to the Course Material, you are granted a non-exclusive, non-transferable, revocable licence to use the Course Material.
    2. Each applicant will have access to the Course Material(s) crafted and developed by myXP- XPEdge. The Course Material has been designed to facilitate different facets of the internship(s). If any applicant(s) wishes to procure a printed copy of the Course Material, the same may be obtained on additional payment.
    3. “Course Materials” shall mean and include all the final Content of the Program published on the Platform or made available during classes/ sessions, and shall include without limitation:
      - Short recorded texts, audios and case studies;
      - Power Point Presentations, PDFs (portable document format) incorporating formative assessments and final edited videos;
      - The graphics, overlays, special and audio-visual effects, scripts used to create/ shoot the videos;
      - Industry projects and case studies;
      - Set of assessments (including but not limited to quizzes, assignments, tests, projects and proctored examinations) spread through the duration of a Program; and
      - Live and/or recorded lectures.
    4. You are not authorised to:-
      - copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Course Materials without prior written permission
      - record on video or audio tape, relay by videophone or other means any session or module of Course/ Program
      - use the Course Materials in the provision of any other course or training whether given by us or any third party trainer;
      - remove any copyright or other notice of myXP- XPEdge on the Course Materials;
      - modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Courses.
      - Breach by you of this clause shall allow us to immediately terminate your subscription/ enrolment in respect of the Platform, Course and/ or Program without any further obligation on the part of company.
  5. Payment
    1. The Program Fees (in INR) for the enrolment to the Course/ Program and/ or access to the Platform shall be payable by the applicant by means of a wire transfer (credit card, debit card or net banking) or such other method of electronic funds transfer as may be required by myXP- XPEdge in its sole and absolute discretion. Before using the Platform or the payment gateway for the payment of the Program Fees, it is recommended that the applicant shall make necessary enquiry about the charges or fees payable against the credit/ debit card used from credit card or the debit card service provider i.e. the respective bank. The credit card information supplied at the time of using the Platform or the payment gateway for the payment of the Program Fees is processed by the payment gateway of the service provider and is not supplied to myXP- XPEdge. It is the sole responsibility of the applicant to ensure that the information entered in the relevant fields are correct. It is recommended that you take and retain a copy of the transaction for record keeping purposes, which might assist in resolution of any disputes that may arise out
    2. The applicant agrees, understands and confirms that his/ her personal data including without limitation details relating to debit card/ credit card/ net banking transmitted over the internet may be susceptible to misuse, hacking, theft and/ or fraud and that myXP- XPEdge or the payment service provider(s) have no control over such matters. Neither the payment gateway service provider nor myXP- XPEdge gives any assurance, that the information so provided online by an applicant is secured or may be read or intercepted by a third party. myXP- XPEdge does not accept or assume any liability in the event of such unauthorized interception, hacking or other unauthorized access to information provided by the applicant.
    3. The Program Fees, in full, must be payable by the applicant before the commencement of the Program/ Course. The payment receipt along with such other details as may be necessary for the commencement of the Program/ Course shall be shared via email to the applicant.
    4. Any payment of Program Fees to the Company shall be inclusive of all taxes (i) required to be deducted at source under applicable law; and/ or (ii) as levied under the applicable law from time to time for such Services.
  6. Discount offers/ Scholarship offers
    1. The Company may at its sole discretion offer discounts on the Program Fees, which shall be solely decided by the evaluation team of myXP- XPEdge (“Evaluation Team”) based on components, including but not limited to the assessment of scores obtained in the Trial Test in proportion to the applications received.
    2. The discount on the Program Fees offered shall be deemed to final and binding only upon the same being communicated in writing and shared to the applicant’s email ID.
  7. Term and Termination
    1. This Agreement shall remain in effect until terminated by you or myXP- XPEdge.
    2. myXP- XPEdge may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
    3. This Agreement will terminate immediately, without prior notice from myXP- XPEdge, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the app and all copies thereof from your computer.
    4. Upon termination of this Agreement, you shall cease all use of the app and delete all copies of the app from your computer. Termination of this Agreement will not limit any of myXP- XPEdge’s rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.
  8. Refund Policy
    1. Any refunds that are to be processed shall be processed in accordance with the refund policy of the Company. To clarify further, the refund of the Program Fees shall be processed by the Company, only if you are ‘qualified/ eligible’.
    2. The appropriate amount of refund of the Program Fees to the ‘qualified/ eligible’ applicant shall be processed within a period of the 7 (seven) working days from the date on which such amount had been approved by us to be refunded. Such refund shall be processed through wire transfer (credit card, debit card or net banking) or such other method of electronic funds transfer as may be applicable.
    3. It is hereby clarified that in the event, (i) you fail to comply with any of the expectations and/ or obligations as specified herein; or (ii) you fail to comply with instructions communicated to you during or before the commencement of the Program/ Course; (iii) you failed to attend consecutive mentor sessions even after 3 (three) written reminders; (iv) you failed to complete the duration of the Course/ Program within the stipulated time; or (v) you failed to submit the assignment(s) and comply with instructions of the mentors even after 3 (three) written reminders; or (vi) you failed to attend 1 (one) or more consecutive interview sessions scheduled by the Company; (vii) you are not responsive to the call/ e-mails/ texts made by the Company, then you shall not be ‘qualified/ eligible’for refund and the Company shall not be bound by the internship assurance program.
    4. If you choose to cancel/ discontinue the enrolment to the Program and thereby, the Platform, then we shall be entitled to forfeit the Program Fees, in entirety.
    5. If, for any reason, You are not completely satisfied with any good or service that we provide, don't hesitate to contact us and we will discuss any of the issues you are going through with our Service.
  9. Course Cancellation/ Extension
    1. The Company reserves the absolute right to cancel a Course/ Program or any session or module therein due to any reason whatsoever. Such decisions will be endeavour to be communicated via email or otherwise at least 48 (forty eight) hours before the scheduled date of any session of the Course/ Program. The Company will make every effort to avoid cancellations.
  10. What is expected out of an applicant?
    1. The applicant must install the mobile application which should be updated as any and all the details of the Course/ Program will be available therein.
    2. The applicant must submit the module 1 (one) assessment in the mobile application before attending the 1st (first) session with the mentor.
    3. The applicant must endeavour to gain exposure by attending all the mock interviews as well as the interviews scheduled with the body corporates on the scheduled date and time.
    4. It is hereby understood by the Parties that the assignments and its completion by the applicant shall form an integral part of the execution of Course/ Program. Therefore, the applicant must score at least 70 (seventy) percent in such assignments.
  11. General obligations of the applicants
    1. We expect you to confirm that the Course/ Program you are enrolled/ subscribed for will meet your needs.
    2. Our service may contain links to other websites that are not operated by Us. If You click on a third party link, You will be directed to that third party's site. We strongly advise You to review the Terms & Conditions of every site you visit. We have no control over and assume no responsibility for the content, Terms & Conditions or practices of any third party sites or services.
    3. You shall not allow anyone else to access the Platform and/or Course Materials;
    4. Further, you agree that you are solely responsible for the activities that occur on your account, and you shall keep your account password secure and not share the same with anyone. You must notify myXP- XPEdge immediately of any breach of security or unauthorized use of your account. At no point in time will myXP- XPEdge be liable for any losses caused by any unauthorized use of your account, you shall solely be liable for the losses caused to myXP- XPEdge or others due to such unauthorized use, if any.
    5. myXP- XPEdge takes no responsibility for any content that is uploaded on the Platform by the applicant, and further, the applicant shall be solely responsible for his or her own actions in utilizing such content and availing the Platform provided herein.
    6. myXP- XPEdge takes no responsibility for any content that is uploaded on the Platform by the applicant, and further, the applicant shall be solely responsible for his or her own actions in utilizing such content and availing the Platform provided herein.
    7. Furthermore, you confirm that the content uploaded by you is not:
      - False, inaccurate or misleading
      - Infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy
      - Violate any law, statue, ordinance or regulation;
      - defamatory, unlawfully threatening or unlawfully harassing;
      - obscene or contain pornography.
      - Contain any viruses, trojan horses, worms, cancelbots or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
    8. You shall comply with any and all the guidelines/ assessment tests/ assignments and the instructions provided by the myXP- XPEdge at all times;
    9. You agree to receive installs and updates from time to time from myXP- XPEdge. These updates are designed to improve, enhance and further develop the Platform and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit myXP- XPEdge to deliver these to you) as part of your use of the Platform.
    10. myXP- XPEdge reserves the right to remove any applicant from a Course/ Program whose behaviour is deemed inappropriate by the myXP- XPEdge or any of its mentors. In these circumstances, myXP- XPEdge will neither refund any Course Fees and Placement Fees nor reimburse any other costs.
    11. You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform (e.g., comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any applicant of the Platform with respect to any Content which has been uploaded on the Platform or is related to the myXP- XPEdge in any manner whatsoever.
    12. You may post reviews, comments and other content; send other communications; and submit suggestions, ideas, comments, questions or other information as long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any other form of spam.
    13. In your use of the Platform, you will at all times comply with all applicable laws and regulations.
    14. You agree and acknowledge that myXP- XPEdge shall have the right at any time to change or discontinue any aspect or feature of the Platform, including, but not limited to, the Course Material, hours of availability and equipment needed for access or use. Further, myXP- XPEdge may discontinue disseminating any portion of information or category of information may change or eliminate any transmission method and may change transmission speeds or other signal characteristics. myXP- XPEdge reserves the right to refuse access to the Platform, terminate accounts, remove or edit contents without any notice to you.
  12. Disclaimers
    1. The Company is not responsible for any content, code or any other imprecision.
    2. The Company does not provide warranties or guarantees.
    3. The Company’s Service and its contents are provided “as is” and “as available” without any warranty or representations of any kind, whether express or implied. The Company is not a publisher of the content supplied by third parties; as such, the Company exercises no editorial control over such content and makes no warranty or representation as to the accuracy, reliability or currency of any information, content, service or merchandise provided through or accessible via the Service.
    4. We do not warrant to you that you will obtain a particular result, professional qualification or employment opportunity from the said enrolment/ subscription. We shall facilitate internships for you with the body corporates, such facilitation shall be on a best effort basis and as per the standard industry practices.
  13. Indemnification
    1. You agree to indemnify and hold myXP- XPEdge and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the app; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third party.
  14. Limitation of liability
    1. The Program offered by myXP- XPEdge is based on research and development over industry requirements and students capabilities. Although myXP- XPEdge aims to provide the services to the highest standards of the industry, neither it, nor its mentors accept any liability for (i) any inaccuracy or misleading information provided in the Program or Course Materials and any reliance by institute on any such information, (ii) any loss or corruption of data, (iii) any loss of profit, revenue or goodwill, or (iv) any indirect, special or consequential loss arising from any breach of the terms and conditions as stipulates herein.
    2. No claim may be brought more than 6 (six) months after the last date on which the Course/ Program concerned have finished or ceased to be provided by us.
    3. myXP- XPEdge’s total liability arising from or in connection with these terms and conditions and in relation to anything which we may have done or not done in connection with these terms and conditions and the Course/ Program offered (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the Program Fees received by us in connection with the relevant Course taught in relation to which a dispute has arisen.
    4. myXP- XPEdge has no liability to you whatsoever. This "Limitation of Liability" section applies regardless of the basis on which you are entitled to claim damages from us, including but not limited to, breach of contract (even in the case of a fundamental breach) and tort (including, but not limited to, misrepresentation).

  16. Intellectual property rights
    1. “Intellectual Property Rights” means all rights worldwide in, to and under copyrights, copyright registrations and applications, trademarks (including trade dress, service marks and trade names), trademark registrations and applications, domain names, patent, patent applications (including the right to claim priority under applicable international conventions) and all patents issuing thereon, inventions, whether or not patentable, trade secrets, author rights, moral rights, rights in goodwill, and other proprietary rights, as may exist now and hereafter come into existence, and all renewals and extensions thereof.
    2. It is hereby acknowledged and agree that myXP- XPEdge is the owner of and shall retain in perpetuity, all the Intellectual Property Rights to the Course, Program and/or Course Materials, and the content and training material published therein.
    3. You shall not use, reproduce, perform, publish, display, distribute, modify, re-format or use in any other manner the content and material from the Program and/or Course Materials, except as permitted by the myXP- XPEdge.
  17. System Availability
    1. The Platform is generally available 24X7, but may be down during times of maintenance required for optimum system performance. myXP- XPEdge will make every effort to inform you of system downtime in advance, but this is not always possible. myXP- XPEdge cannot provide support for computers that do not meet our system requirements.
  18. Force Majeure
    1. myXP- XPEdge shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond the its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.
  19. Governing Law
    1. The Terms and Conditions are governed by and constructed in accordance with the laws of India, without reference to conflict of laws principles and you irrevocably and unconditionally submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
  20. Modification, Amendment or Termination
    1. myXP - XPEdge may, in its sole discretion, modify or revise these Terms and Conditions and policies at any time, and you agree to be bound by such modifications or revisions. Your continued use of the Platform post any modification of the Terms and Conditions shall be taken as your consent and acceptance to such modifications. Nothing in these Terms and Conditions shall be deemed to confer any third-party rights or benefits.
  21. Policy for NDNC
    1. By using the website and/or registering yourself at myxp.ai you authorize us to contact you via email or phone call or sms and whatsapp offer you our services, imparting product knowledge, offer promotional offers running on website & offers offered by the associated third parties, for which reasons, personally identifiable information may be collected. And Irrespective of the fact if you have also registered yourself under DND or DNC or NCPR service, you still authorize us to give you a call from the myxp for the above mentioned purposes till 45 days of your registration with us. This Privacy Policy covers myxp’s treatment of personally identifiable information that myxp collects when you are on the myxp.ai site, and when you use myxp’s services. This policy also covers myxp’s treatment of any personally identifiable information that myxp’s business partners share with myxp. This policy does not apply to the practices of companies that myxp does not own or control or to people that myxp does not employ or manage. myxp collects personally identifiable information when you register for a myxp account, when you use certain myxp products or services, when you visit myxp pages, and when you enter promotions. myxp may also receive personally identifiable information from our business partners. When you register with myxp, we ask for your first name, last name, contact no, email, Date of birth and gender. Once you register with myxp and sign in to our services, you are not anonymous to us. Also during registration, you may be requested to register your mobile phone and email id, pager, or other device to receive text messages, notifications, and other services to your wireless device. By registration you authorize us to send sms/email alerts to you for your login details and any other service requirements or some advertising messages/emails from us.
